PayNest Capital, LLC ("PayNest Capital," "Company," "we," "our," or "us") respects your privacy and is committed to protecting the personal information you provide to us. This Privacy Policy explains how we collect, use, disclose, and safeguard information when you visit paynestpayments.com (the "Site"), contact us, apply for our services, or communicate with us by email, telephone, or SMS/text message.
By using the Site or our services, you agree to the practices described in this Privacy Policy. If you do not agree, please do not use the Site or our services.

2. Information We Collect
2.1 Information You Provide Directly
We collect information you voluntarily submit to us, including:
• Contact information: name, business name, job title, email address, mailing address, and mobile telephone number
• Business information: business type, entity structure, ownership details, years in operation, industry, and business address
• Application and underwriting information: if you apply for merchant services, payment processing, equipment, or financing, we may collect processing history, monthly card volume, bank account and routing information, tax identification numbers, government-issued identification, and financial statements
• Communications: the contents of forms, emails, chat sessions, recorded or monitored telephone calls, and text messages you exchange with us
2.2 Information Collected Automatically
When you visit the Site, we may automatically collect: IP address, browser type and version, device type and identifiers, operating system, referring URLs, pages viewed, links clicked, and time and date of access. We collect this information using cookies, pixels, log files, and similar technologies. See Section 9 for cookie details.
2.3 Information From Third Parties
We may receive information about you from credit bureaus, business data providers, payment networks, banking partners, referral partners, and publicly available sources, in each case as permitted by applicable law and for the purposes described below.
2.4 Information We Do Not Collect
We do not knowingly collect information from individuals under 18 years of age. See Section 11.
3. How We Use Your Information
We use the information we collect to:
• Respond to your inquiries, quote requests, and service applications
• Evaluate, underwrite, approve, and service merchant accounts, payment processing, equipment, and financing products
• Provide, maintain, support, and improve our products and services
• Process transactions and send related confirmations, statements, and account notices
• Send you transactional and marketing communications, including email, telephone calls, and SMS/text messages, where you have provided the required consent
• Verify identity and conduct fraud prevention, risk management, and anti-money-laundering screening
• Comply with legal, regulatory, card network, and banking partner obligations
• Analyze Site usage and improve the performance and security of our Site and systems
• Enforce our Terms of Service and protect our legal rights
4. SMS / Text Messaging Privacy
This section applies specifically to our text messaging program and governs any mobile telephone number and messaging consent you provide to us.
4.1 Consent
We send SMS and MMS messages only to individuals who have provided prior express written consent by opting in through our SMS opt-in form. The form presents a consent box that is unchecked by default and is not required in order to submit the form, and we confirm the number by texting a verification code that the subscriber must enter.
Consent to receive marketing text messages is not a condition of purchasing any goods or services from PayNest Capital.
4.2 Message Types
Depending on the consent you give, we may send:
• Marketing and promotional messages about payment processing rates, POS solutions, merchant services, financing offers, and related products
• Account and transactional messages, such as application status updates, document requests, appointment confirmations, service notices, and support responses
4.3 How We Use Mobile Information
We use your mobile telephone number and messaging consent solely to deliver the messages you have opted in to receive, to respond to your replies, to provide customer support, and to maintain records of your consent and opt-out status as required by law.
4.4 No Sale or Sharing of Mobile Opt-In Data
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All of the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
We do not sell, rent, lease, or otherwise disclose mobile telephone numbers or SMS opt-in data to third parties, affiliates, lead generators, data brokers, or advertisers at any time, for any purpose.
Information sharing with subcontractors and vendors that perform support services on our behalf — such as our messaging platform provider (Twilio), our CRM provider, and our customer service providers — is permitted only to the extent necessary for those parties to deliver messages and provide support services to us. These service providers are contractually prohibited from using your mobile information for their own marketing or promotional purposes, or from disclosing it to any other party.
4.5 Opting Out
You may cancel text messages at any time by replying STOP to any message from us. You will receive a single confirmation message and will not receive further messages unless you re-subscribe. Reply HELP for assistance, or contact us at Jordan@paynestcapital.com. Message and data rates may apply. Message frequency varies. Full messaging terms are available in our Terms of Service.
4.6 Retention of Opt-Out Records
If you opt out, we retain your mobile number on our internal suppression list indefinitely for the sole purpose of honoring your opt-out request and demonstrating compliance.
5. How We Share Information
We may disclose the information described in Section 2 (other than mobile opt-in data and SMS consent, which is never shared as stated in Section 4.4) in the following circumstances:
Service providers and subcontractors:
Purpose: Hosting, CRM, communications, analytics, payment processing, document management, and customer support performed on our behalf
Banking and processing partners:
Purpose: Sponsor banks, acquirers, payment networks, and funding partners for the purpose of underwriting, boarding, and servicing your account
Credit bureaus and verification services:
Purpose: Identity verification, credit evaluation, and fraud prevention
Professional advisors:
Purpose: Attorneys, auditors, and accountants under duties of confidentiality
Legal and regulatory:
Purpose: Where required by subpoena, court order, law enforcement request, or applicable law or regulation
Business transfers:
Purpose: In connection with a merger, acquisition, financing, or sale of all or part of our business, subject to the protections in this Policy
We do not sell your personal information for money. To the extent applicable state law defines "sale" or "sharing" more broadly to include certain advertising-related disclosures, see Section 10.
6. Data Security
We maintain administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, disclosure, alteration, and destruction, including encryption in transit, access controls, and vendor due diligence. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
7. Data Retention
We retain personal information for as long as necessary to fulfill the purposes described in this Policy, to maintain and service your account, and to comply with our legal, tax, accounting, card network, and regulatory obligations. Retention periods vary by record type; underwriting and transaction records are typically retained for a minimum of seven (7) years following account closure.
8. Your Choices and Rights
• Email: unsubscribe using the link in any marketing email, or contact us directly.
• Text messages: reply STOP to any message. See Section 4.5.
• Telephone: ask to be placed on our internal Do Not Call list.
• Access, correction, and deletion: you may request a copy of the personal information we hold about you, ask us to correct inaccuracies, or request deletion, subject to legal and contractual retention obligations. Contact us at Jordan@paynestcapital.com.
We will not discriminate against you for exercising any of these rights.
9. Cookies and Tracking Technologies
We use cookies and similar technologies for essential Site functionality, analytics, and, where applicable, advertising measurement. You can control cookies through your browser settings; disabling cookies may affect Site functionality. We do not respond to Do Not Track browser signals.
10. State-Specific Privacy Rights
Residents of certain states, including California, Colorado, Connecticut, Virginia, Utah, Texas, Florida, and others with comprehensive privacy laws, may have additional rights, including the right to know, access, correct, delete, obtain a portable copy of, and opt out of the sale or sharing of personal information or targeted advertising, and the right to appeal a denial of a request.

Regardless of state of residence, mobile telephone numbers and SMS opt-in data are never sold or shared with third parties for marketing purposes.
11. Children's Privacy
Our Site and services are intended for businesses and for individuals 18 years of age or older. We do not knowingly collect personal information from anyone under 18. If we learn we have collected such information, we will delete it promptly.
12. Third-Party Links
The Site may contain links to third-party websites. We are not responsible for the privacy practices or content of those sites, and this Policy does not apply to them.
13. Changes to This Privacy Policy
We may update this Privacy Policy from time to time. The "Last Updated" date at the top reflects the most recent revision. Material changes will be posted on this page and, where required by law, communicated to you directly. Your continued use of the Site or our services after changes take effect constitutes acceptance.

Mobile telephone numbers and SMS consent data are expressly excluded from all disclosure categories above and are never sold, rented, leased, or shared with any third party for marketing or promotional purposes.
Sensitive personal information. Where we collect account numbers, government identifiers, or financial account credentials, we use and disclose that information only for the purposes of performing the Services, preventing fraud, and complying with law — never to infer characteristics about you and never for cross-context behavioral advertising.
15. Financial Privacy — Gramm-Leach-Bliley Act (GLBA) Notice
Because PayNest Capital provides financial products and services, certain nonpublic personal information we collect from individuals is governed by the federal Gramm-Leach-Bliley Act and its implementing Privacy Rule (Regulation P) and Safeguards Rule.
What we collect: information you provide on applications and forms; information about your transactions with us, our affiliates, or others; and information we receive from consumer reporting agencies.
What we disclose: we disclose nonpublic personal information about you only as permitted by law — for example, to sponsor banks, acquirers, and funding partners in order to process and service your account; to service providers performing functions on our behalf; to consumer reporting agencies; and to regulators or in response to lawful process. We do not disclose nonpublic personal information about you to nonaffiliated third parties for their own marketing purposes.
How we protect it: we maintain a written information security program with administrative, technical, and physical safeguards designed to protect the security, confidentiality, and integrity of customer information, as required by the Safeguards Rule.
Your right to limit sharing: because we do not share your information with nonaffiliated third parties for their marketing purposes, no opt-out is required. Where state law provides additional opt-out rights, we will honor them; contact us at Jordan@paynestcapital.com.
Where GLBA and a state privacy law both apply, information subject to GLBA may be exempt from certain state-law rights. GLBA does not limit your right to opt out of marketing text messages under Section 4.5, which we honor in all cases.
16. Telephone Calls and Call Recording
We may record or monitor telephone calls with you for quality assurance, training, dispute resolution, and to document consent and account instructions. Where required by law, you will be notified at the start of the call and may request that recording stop. Connecticut and several other states require the consent of all parties to a recording; by continuing a call after our recorded-line disclosure, you consent to the recording.
If you provided a mobile number in connection with an inquiry or application, you may receive telephone calls, including calls placed with an automatic telephone dialing system or prerecorded voice, at that number. You may revoke consent to such calls at any time by telling any representative, replying STOP to a text, or writing to Jordan@paynestcapital.com. We maintain an internal Do Not Call list and honor the National Do Not Call Registry.
